Terms of Sale
These terms govern every quote, order and shipment. Submitting an order request or a quote request means agreeing to them.

01Who these terms are between
“We”, “us” and “Bac Water Hub” mean Wholesale Peptide Supply, organised in California, of 185 Paularino Ave, Costa Mesa, CA 92626, United States. Bac Water Hub is a brand operated by Wholesale Peptide Supply. “You” means the business submitting the request and the business named on the invoice, and you confirm that the person submitting is authorised to bind it.
These terms, together with the Payment & Financial Policy, the Privacy Policy, and the quote or invoice we issue, are the entire agreement between us for the sale of goods. They replace anything said beforehand.
Your purchase order terms do not apply, and we reject them even where a purchase order says its terms prevail. Our shipping goods against a purchase order is not acceptance of its terms. Where a quote or invoice conflicts with this page, the quote or invoice governs for that order only.
02Business buyers only
We sell business to business. We do not sell to individuals, we do not operate a consumer store, and there is no cart or card checkout on this site.
You confirm at submission that the purchaser is a business. We may ask for business registration, an EIN, a resale certificate, or confirmation of the ship-to address before quoting, invoicing or dispatching, and we may decline any request without giving a reason.
Orders ship to commercial addresses in the United States. We do not ship to residential addresses or to PO boxes, and we do not ship internationally.
03Research use only
Everything we sell is for research use only. It is not for human or veterinary use. It is not a drug, a supplement or a medical device, it is not manufactured, tested or released as one, and no regulator has approved, cleared or licensed it.
You agree that you will not, and will not permit anyone else to:
- use the product in or on humans or animals, or for any diagnostic, therapeutic, cosmetic or food purpose
- represent the product as sterile water for injection, as a compounding component, as a pharmaceutical or as approved by any regulator
- state or imply a purity, sterility or performance claim that we have not published for the specific lot supplied
- publish reconstitution, dilution, dosing or administration guidance alongside the product, or otherwise present it as intended for use in a person
- remove, obscure or alter any label, lot marking, expiry or research-use-only statement
We publish no reconstitution guidance and no dosing guidance, and nothing we supply — copy, specification, test data or correspondence — should be read as either.
This clause is a condition of sale rather than a formality. Breaking it is a material breach, and we may suspend or terminate supply under clause 19 without refunding undelivered orders.
04If you resell or relabel
Most of our customers resell. These conditions travel with the goods, and they are the reason we can sell to a reseller at all.
- Pass the restrictions on. Every downstream buyer must receive the research-use-only statement and restrictions in clause 3, in writing, on terms at least as protective as these
- Keep the lot identifiable. Do not repackage, decant, re-fill or combine lots. If you relabel, the lot code and expiry must remain legible and correct
- Do not add claims. You may repeat the specification and lot data we publish. You may not add to it, and you may not attribute a claim to us that we have not published
- Keep distribution records. Enough to identify who received which lot, for as long as the lot is within its shelf life, so a trace under clause 14 is possible
- Sell business to business. Do not sell into a consumer channel or present the product for personal purchase
You are an independent business. Nothing here makes you our agent, distributor, partner or franchisee, gives you exclusivity in any territory or channel, or permits you to make commitments on our behalf.
You may say that you source from us. You may not use our name, marks or branding in your own labelling or advertising without our written consent.
05Quotes and orders
An order request or quote request submitted on this site is an offer to buy. It is not a contract. A contract forms only when we issue a written quote or invoice and you accept it.
Quotes are valid for 14 days unless stated otherwise on the quote. We may decline, cancel or reduce any order, including after acceptance, if stock, verification or compliance requires it. If we do, and you have already paid, we refund in full and that refund is your only remedy.
Quantities are as stated on the invoice. We do not ship over or under a confirmed quantity without telling you first.
06Prices, minimums and tiers
Published prices are per vial in US dollars and exclude shipping, insurance and tax. Prices on the site are current at the time shown and may change; the price on your quote or invoice is the price that applies.
- Minimum order is 10 vials, any mix of sizes
- The 20% volume discount applies at 100 vials on a single order, counted across all sizes together
- Tier is assessed per order. Orders are not aggregated across dates
Prices and figures published on this site are stated in good faith and may contain an error. We may correct an obvious pricing or typographical error before we dispatch, even after invoicing — see clause 7 of the Payment & Financial Policy. You may cancel for a full refund rather than accept a corrected price.
07Delivery, title and risk
Orders received and paid before 2:00 PM PT on a business day dispatch the same day, subject to stock. Dispatch dates are estimates, not guarantees, and we are not liable for carrier delay or for loss caused by a missed dispatch date.
Shipping terms are FOB origin. Title and risk of loss pass to you when we hand the goods to the carrier — the shipment travels at your risk. If you want it insured, say so before we invoice and we will add it.
Where you supply your own carrier account, that carrier is your agent: risk passes on collection, and any claim for loss or damage in transit is yours to make against them.
We may deliver in instalments. Each instalment is a separate contract, and a problem with one does not entitle you to cancel the rest.
08Inspection, shortages and damage
Inspect every shipment on arrival. Notify us of a shortage, a damaged carton or a wrong item within 5 business days of delivery, with photographs and the lot number. Claims made after that window are out of time.
Do not discard damaged goods or packaging until the claim is resolved — the carrier may require inspection. Accepting a shipment without notice within the window is acceptance of the quantity and condition delivered.
09Storage and handling after delivery
From the moment risk passes, storage and handling are yours. Store the product as published for its fill size — 20–25 °C, controlled room temperature — in the original sealed container, out of direct light, and use it within the expiry printed on the label.
Multi-dose vials have a working life from first puncture rather than from delivery. Determining that working life for your own process is your responsibility; we publish no guidance on it.
The warranty in clause 10 does not cover product that has been stored or handled outside these conditions, opened, decanted, repackaged, relabelled, combined with another lot, or used after its expiry.
10What we warrant
We warrant that at the time of dispatch the product conforms to the specification published for its fill size and to the test results published for its lot, and that it is free from defects in materials and workmanship.
Test results describe the lot that was tested, at the date it was tested. We make no forward-looking claim about lots that have not been filled or tested, and no statement on this site is a guarantee about a future lot.
Except as stated in this clause, we give no warranties of any kind, express or implied, and we specifically disclaim the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. You are responsible for determining whether the product is suitable for your application, and for any testing that determination requires.
This warranty runs to you and is not transferable. It does not extend to your customers, and nothing in it gives a downstream buyer a claim against us.
11Your remedy if something is wrong
If product does not conform to clause 10 and you notify us within the window in clause 8, our entire obligation, and your only remedy, is at our option to replace the product or refund what you paid for it.
We may ask you to return the product, or to hold it for inspection, before we do either. Where a return is required for a claim we accept, we cover freight both ways.
Outside this clause, all sales are final — see clause 10 of the Payment & Financial Policy.
12Limitation of liability
We are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost data, product recall costs or business interruption, however caused and on any theory of liability.
Our total liability arising out of or relating to any order is limited to the amount you paid for the product giving rise to the claim.
These limits apply even if a remedy fails of its essential purpose, and they reflect an agreed allocation of risk that is part of the price.
Any claim must be brought within one year of the delivery it relates to.
Nothing here limits liability that cannot lawfully be limited, including for fraud, for fraudulent misrepresentation, or for death or personal injury caused by negligence.
13Your indemnity
You indemnify, defend and hold us harmless against any claim, loss, damage, penalty, regulatory action or cost, including reasonable legal fees, arising from:
- your use, storage, handling, relabelling, repackaging, resale or distribution of the product
- your breach of clause 3 or clause 4, or a downstream buyer’s breach of restrictions you were required to pass on
- any claim, representation or guidance you make about the product that we have not published
- artwork or marks you supply to us, as set out in clause 16
We will tell you promptly about a claim, let you control the defence of it so far as it concerns you, and cooperate at your cost. You may not settle in a way that admits fault on our part or imposes an obligation on us without our written consent.
14Traceability and recall
Every vial carries a lot code, and every lot is documented. If we need to trace or withdraw a lot, you will cooperate: tell us what you still hold, identify who received it from you, stop further distribution when we ask, and pass any notice we give to the buyers who received that lot.
We will bear our own costs of a withdrawal caused by our breach of clause 10, up to the limit in clause 12. Your costs of handling a withdrawal are your own, which is why clause 4 asks you to keep records that make one cheap rather than expensive.
15Compliance and export
You are responsible for complying with the laws that apply to you, including any licensing, registration, record-keeping, labelling, storage or import requirements in your jurisdiction.
You will not export or re-export the product, directly or indirectly, in breach of US export controls or sanctions, and you confirm that neither you nor anyone you supply is a restricted or denied party.
You confirm you are not buying on behalf of an undisclosed third party, and that you will not divert the product to a use or destination prohibited by these terms.
16Private label
Private label orders are governed by these terms plus the written specification agreed for that run. Each run is filled as a discrete lot with its own lot code and test record.
Artwork you supply must be accurate, must carry the research-use-only statement, and must not carry a claim prohibited by clause 3. We may refuse to print artwork that does. Reviewing a proof is not approval of the accuracy or legality of your content — the content is yours.
You warrant that you hold the rights to any mark, name or artwork you ask us to apply, and you indemnify us against any claim that applying it infringes or misleads.
Private label goods are made to your order. They may be cancelled without charge until artwork is approved for production, and after that point they are not cancellable and not returnable except for a defect under clause 10.
17Changes to the product
We may change the specification, the container, the closure or the artwork where the change does not reduce the product below the published specification for its fill size. The specification in force for your order is the one published when we accept it.
We may discontinue a fill size. Doing so does not affect an order we have already accepted.
18Events outside our control
We are not liable for delay or failure to perform caused by something outside our reasonable control — including supply or raw material failure, loss of a fill or testing facility, carrier failure, labour action, utility or network failure, fire, flood, epidemic, act of government, or war.
We will tell you, and we may allocate available stock among our customers in any way we consider fair. If the event continues for more than 30 days, either of us may cancel the affected order and we refund anything paid for undelivered goods.
19Suspension and termination of supply
We may suspend or stop supplying you, and cancel accepted orders, if you breach clause 3 or clause 4, if verification under clause 2 fails or is refused, if payment fails, or if continuing to supply would in our reasonable judgement expose us to legal or regulatory risk.
We refund anything paid for goods we do not deliver. Where we stop supply for breach of clause 3, we are not obliged to refund goods already delivered, and clause 13 continues to apply.
20Notices
Notices to us go to admin@wholesalepeptidesupply.com or to Wholesale Peptide Supply, 185 Paularino Ave, Costa Mesa, CA 92626, United States. Notices to you go to the email address on your most recent order or quote. Email notice takes effect on the next business day after it is sent.
Keep your contact details current. A notice sent to the address you last gave us is effective whether or not you received it.
21General
- Assignment. You may not assign or transfer these terms without our written consent. We may assign them to a successor to the business
- Severability. If a provision is unenforceable, it is limited or removed to the minimum extent necessary and the rest stands
- No waiver. Not enforcing a term once does not waive it
- No third-party beneficiaries. These terms are between you and us. Your customers acquire no rights under them
- Survival. Clauses 3, 4, 10, 11, 12, 13, 14, 15 and 22 survive delivery and termination
- Headings. Clause titles are for navigation and do not affect interpretation
22Governing law and disputes
These terms are governed by the laws of California, without regard to its conflict of laws rules. The state and federal courts located in Orange County, California have exclusive jurisdiction, and both parties consent to venue there. The UN Convention on Contracts for the International Sale of Goods does not apply.
Before filing, raise the dispute with us in writing and give us 30 days to resolve it. Either of us may still seek an injunction at any time.
Each of us waives any right to a jury trial, and disputes are brought individually rather than as part of a class or representative action.
23Changes to these terms
We may change these terms. The version in force for your order is the version published when we accept it, identified by the version stamp at the top of this page. We record which version you agreed to when you submit, along with the wording of each box you ticked.
